Terms of Service for NeonQuant
These Terms of Service govern your access to and use of the NeonQuant website, mobile application, Telegram bot, market forecast tools, sentiment tools, related dashboards, and any future API or related services (collectively, the “Services”).
1. Acceptance of These Terms
By accessing, downloading, installing, registering for, subscribing to, or otherwise using the Services, you agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree to these Terms, do not use the Services.
2. Who We Are
NeonQuant is a market analytics and sentiment product that provides tools, forecasts, signals, summaries, scoring, models, and related informational outputs for cryptocurrency and related markets.
References to “NeonQuant,” “we,” “our,” or “us” mean the operator of the Services.
3. Eligibility
You may use the Services only if you are legally able to enter into a binding agreement under applicable law.
If you use the Services on behalf of a company, organization, or other entity, you represent that you are authorized to bind that entity to these Terms.
4. Informational Use Only — Not Financial Advice
NeonQuant provides market forecasts, sentiment analysis, analytics, indicators, summaries, model outputs, and related content strictly for informational and educational purposes only.
- NeonQuant is not a broker, dealer, exchange, investment adviser, financial adviser, or fiduciary.
- Nothing in the Services constitutes financial, investment, trading, tax, accounting, or legal advice.
- Nothing in the Services is a recommendation, solicitation, endorsement, or offer to buy, sell, hold, or trade any asset.
- You are solely responsible for evaluating any information provided by the Services.
You alone are responsible for all trading, investing, and risk-management decisions you make.
5. No Warranty as to Accuracy, Completeness, or Performance
The Services may include predictive models, machine-generated outputs, sentiment scoring, market interpretations, heuristics, summaries, price targets, data feeds, charts, or automation. These outputs may be wrong, incomplete, stale, delayed, unavailable, or misleading.
- Forecasts may fail.
- Sentiment may be inaccurate.
- Data sources may contain errors, gaps, delays, or inconsistencies.
- Signals may be mistimed, incorrect, or unsuitable for your goals or risk tolerance.
- Historical performance, backtests, and simulated results do not guarantee future results.
We make no guarantee that the Services will be accurate, profitable, useful, uninterrupted, secure, or error-free.
6. Assumption of Risk
Markets, especially cryptocurrency markets, are volatile and risky. You acknowledge and agree that use of the Services involves substantial risk, including the risk of partial or total loss of funds, missed opportunities, liquidation, slippage, data-feed errors, signal failures, technical outages, and poor decision-making.
You assume all risk arising from your use of or reliance on the Services.
7. Limitation of Liability
To the maximum extent permitted by applicable law, NeonQuant and its owners, operators, affiliates, licensors, contractors, service providers, employees, agents, successors, and assigns shall not be liable for any losses, damages, liabilities, claims, or expenses arising out of or related to:
- trading losses, investment losses, loss of profits, or loss of opportunity,
- portfolio declines, liquidations, margin calls, or missed entries or exits,
- use of or reliance on forecasts, sentiment scores, signals, analytics, alerts, or summaries,
- incorrect, incomplete, stale, delayed, or missing market data,
- Telegram bot issues, mobile app issues, API downtime, platform outages, or connectivity failures,
- bugs, exploits, service interruptions, data corruption, hacks, or unauthorized access,
- third-party payment failures, subscription failures, store issues, hosting issues, or vendor issues,
- your inability to use the Services or your decision to use the Services,
- any indirect, incidental, consequential, special, exemplary, or punitive damages.
This limitation applies whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if we were advised that such damages were possible.
If, notwithstanding the foregoing, NeonQuant is found liable for any claim, our total aggregate liability shall not exceed the greater of: (a) the amount you paid to NeonQuant for the Services during the thirty (30) days immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis.
- We disclaim all warranties, express or implied.
- We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, and accuracy.
- We do not warrant that the Services will meet your needs or expectations.
- We do not warrant that the Services will be uninterrupted, secure, or free from bugs, malware, or defects.
Your use of the Services is entirely at your own risk.
9. Accounts, Access, and Security
Some parts of the Services may require an account, subscription, chat access, API key, or other credentials.
- You are responsible for maintaining the confidentiality of your login credentials and access tokens.
- You are responsible for all activity under your account or credentials.
- You must promptly notify us of suspected unauthorized access or misuse.
10. Subscriptions, Billing, and Refunds
Some Services may be paid, subscription-based, usage-based, or sold through third-party payment providers or app stores.
- Prices, features, and plan terms may change at any time.
- Subscriptions may renew automatically unless canceled.
- You are responsible for applicable taxes, fees, and charges.
- Refunds are only available if required by law or expressly stated by us in writing.
We are not responsible for payment processor errors, app store billing issues, bank issues, or payment delays outside our control.
11. Telegram Bot, Alerts, Notifications, and API
NeonQuant may provide access through a Telegram bot, push alerts, email alerts, automation, or an API. Those delivery channels may fail, delay, duplicate, or omit messages or outputs.
- Messages and alerts may arrive late or not at all.
- API responses may be delayed, rate-limited, incomplete, or unavailable.
- We do not guarantee execution speed, uptime, throughput, or compatibility with your systems.
- You must independently verify all information before acting on it.
We may suspend, throttle, rotate, revoke, or terminate bot/API access at any time, with or without notice.
12. Acceptable Use
You agree not to:
- use the Services for unlawful, fraudulent, abusive, or deceptive purposes,
- copy, scrape, mirror, resell, sublicense, or exploit the Services except as expressly allowed,
- interfere with, disrupt, probe, overload, or damage the Services or related systems,
- bypass rate limits, access controls, subscriptions, or security measures,
- reverse engineer or attempt to extract source code, models, or private system logic except where prohibited by law,
- use the Services to build a competing product using our protected content or systems in violation of applicable law.
13. Enforcement and Suspension
We may investigate violations of these Terms and may suspend, restrict, disable, or terminate your access to the Services at any time, with or without notice, for any reason including suspected abuse, risk, nonpayment, legal concerns, or platform integrity concerns.
We are not liable for any loss resulting from suspension or termination of access.
14. Intellectual Property
The Services, including software, visual design, branding, site content, bot content, charts, layouts, text, code, model outputs formatting, and related materials, are owned by NeonQuant or its licensors and are protected by applicable law.
Except for limited rights expressly granted to you, no rights are transferred to you.
15. Third-Party Services and Data Sources
The Services may depend on third-party platforms, exchanges, app stores, hosting providers, messaging platforms, data vendors, analytics vendors, and payment processors.
We are not responsible for third-party services, third-party outages, third-party terms, third-party data quality, or third-party actions or omissions.
16. Indemnification
You agree to defend, indemnify, and hold harmless NeonQuant and its owners, operators, affiliates, licensors, contractors, service providers, employees, agents, successors, and assigns from and against any claims, demands, actions, proceedings, damages, judgments, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of or misuse of the Services,
- your trading, investment, or business decisions,
- your violation of these Terms or applicable law,
- your content, data, integrations, automations, or systems connected to the Services,
- your infringement or violation of any rights of another person or entity.
17. Termination
These Terms remain in effect until terminated by either you or us.
You may stop using the Services at any time. We may terminate or suspend access at any time. Sections that by their nature should survive termination will survive, including disclaimers, liability limits, indemnity, dispute terms, and intellectual property provisions.
18. Changes to the Services
We may modify, replace, suspend, restrict, or discontinue any part of the Services at any time, temporarily or permanently.
We are not liable for any modification, suspension, discontinuation, or removal of any feature, plan, integration, or access method.
19. Governing Law and Disputes
These Terms and any dispute arising out of or relating to the Services shall be governed by and construed under the laws of the State of Virginia, without regard to conflict-of-law principles.
To the maximum extent permitted by law, you agree that any claim or dispute shall be brought exclusively in the state or federal courts located in Virginia, and you consent to their personal jurisdiction and venue.
To the extent permitted by law, you waive any right to participate in a class action, class arbitration, or representative action against NeonQuant.
20. Changes to These Terms
We may revise these Terms from time to time. When we do, we may update the “Last Updated” date above and may provide additional notice where appropriate.
Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.
